Prior to entering private practice, Michael spent the previous 15 years as in-house counsel for both publicly-traded and privately-held companies, with responsibility for all company-wide legal matters, including business combination and divestiture transactions, operational and strategic planning, transactional and operational due diligence, contract negotiations, drafting and review of operational, service, supplier, customer, financing, intellectual property licensing and royalty, real estate and oil and gas agreements, litigation management, domestic and international corporate, partnership and limited liability company governance, and securities compliance matters.

A frequent lecturer and speaker, Ellen Presby has taught trial advocacy skills and litigation-specific continuing legal education courses through the Southern Methodist University School of Law, the National Institute of Trial Advocacy, the Dallas Bar Association, and other programs. She is also the co-author of the book Texas Pretrial Practice, published in 2000 and updated annually. For her career accomplishments, Ellen was recognized as one of the top 50 female lawyers in Texas by Texas Monthly magazine and Law & Politics Media in 2004, and was listed as a Texas Super Lawyer by these publications since 2003. She has also been named an Advocate by the National College of Advocacy's Achievement Recognition Program, through the Association of Trial Lawyers of America. Among her many professional activities, she has served as Co-Chair of the State Bar of Texas Grievance Committee, the Executive Committee of the Dallas Chapter of American Board of Trial Advocates, the Boards of the Texas Trial Lawyers Association and Public Justice Foundation. Anjo’s notable engagements include:
- Transaction advice on the acquisition of a major Philippine bank by way of a government privatization process;
- Supervising a team a lawyers engaged by Project EMERGE of the USAID to review the Philippine government policy on Financial Sector taxation (First Module). The study identified instances of tax arbitrage across different industries in the Philippine financial sector, with the purpose of eventually promoting a tax-neutral environment.
- Transaction advice on the real property asset acquisition by a private equity fund, including tax advice on the structure of the inward investment and the capital and profit repatriation upon divestiture of the investment.
- Legal review of the Philippine operations of a multinational seed products and planting materials company.
Anjo has advised a Philippine business process outsourcing company in the partial acquisition by a Fortune 500 company of a US$15 million ownership stake and a China-based company in the US $20 million acquisition of a mixed use leisure and resort park, where the firm performed extensive due diligence, deal structuring, acquisition agreements drafting, and management of tax implications.

Lily K. Gruba is the Managing Partner for Zambrano and Gruba Law Offices. Lily’s legal career started when she worked for former Philippine Supreme Court Chief Justice Andres R. David is a senior executive with 30 years of experience in the outsourcing and consulting business. He gained his expertise in selling, deal making and running large operations with four large public and private companies. He also ran a small service company that was the consolidation of three companies. He has the unique background of deep outsourcing expertise along with nine years of large consulting engagements. He is experienced with all aspects of outsourcing to include infrastructure outsourcing, time sharing, software as a service (SaaS), application service provider (ASP), application outsourcing and business process outsourcing. He has extensive consulting experience in program management, systems integration, ERP implementation, technology training, executive decision support, technology strategy, client server transformation and enterprise architecture. He has experience with three large technology companies as they either acquired companies, went through an IPO or were acquired by a larger company. He was a founding partner of one of the fastest growing consulting companies in the US.
David received his Bachelor of Science from the United States Military Academy at West Point and an Executive MBA from the Owen School of Management at Vanderbilt University. He has always been active in the technology community. He was the President of the Nashville Chapter of the Association for Systems Management (ASM). He also was a Founder and later President of the High Tech Initiative in Nashville that focused on improving the technology economic development environment in that region. He had a radio show in Nashville where he interviewed technology CEO's. He has served on the Board of Directors of the Systems and Software Consortium (SSCI) in Washington DC. SSCI focuses on the development of systems and software processes that improve business performance. He has been an active member of the Information Technology Association of America (ITAA) for 7 years and the past 3 years served as the Chairman of ITAA. He lead the recent merger of ITAA with the Government Electronic and Information Technology Association (GEIA).

Mr. Mills received his Bachelor of Arts degree from Southern Methodist University in 1969 and earned his Juris Doctor from the University of Texas in 1972. After completing a Ford Foundation Grant Project at the Washington, D.C. Public Defender Office, Mr. Mills began his private practice of law in Dallas, Texas, primarily engaging in litigation in civil and criminal trial practice in federal court. Before opening his own practice, Mr. Mills held positions as a partner at Vial, Hamilton, Koch & Knox, and as head of the white collar crime section at Gardere & Wynne.
